BASES Annual General Meeting

Due to social distancing measures, BASES will not be able to hold its standard AGM in November 2020. The BASES Articles are non-hybrid, which means that a virtual AGM is not possible; ‘place’ (clause 10.2) is read as a physical location and ‘present’ (clause 12.1) does mean in person. The BEIS (Department for Business, Energy and Industrial Strategy) and FRC (Financial Reporting Council) are currently looking at putting in place legislation that would allow organisations to relax the rules of older articles but nothing is in place at present.

Clause 9.2 states that ‘Not more than 15 months shall elapse between one annual general meeting and the next’, so the next AGM will need to take place before 19 February 2021, which may allow some extra time for BEIS/FRC to provide revised legislation around AGM rules. 

However, to retain as much normality as possible, a BASES Briefing webinar session, closed to BASES members, will take place in November (4:30 pm Monday 16 November 2020). BASES Chair, Prof Richard Tong FBASES will deliver a short presentation outlining the Association’s activities over the last 12 months and our future plans, including an update on the 2021-2025 strategy. Members of the Board and the Executive Director will be in attendance on the webinar.
